ARKO Petroleum to Acquire USPP in Fuel Distribution Expansion
ARKO Petroleum Corp is acquiring U.S. Petroleum Partners to boost wholesale fuel volumes by ~280M gallons and add ~$30M in annual adjusted EBITDA.
ARKO Petroleum Corp has announced a definitive agreement to acquire the business of U.S. Petroleum Partners, LLC, known as USPP, a vertically integrated fuel supply and distribution platform. The deal signals a deliberate push by ARKO to scale its downstream fuel operations at a time when consolidation in the petroleum distribution sector is accelerating across the United States.
According to the company, the acquisition is expected to increase ARKO's annual wholesale fuel volumes by approximately 280 million gallons — a meaningful expansion for a business where throughput scale directly translates into margin leverage. The transaction is also projected to contribute roughly $30 million in annual adjusted EBITDA, a metric that operators in capital-intensive fuel logistics businesses use as a proxy for underlying cash generation.

The strategic logic here extends beyond simple volume growth. By folding a vertically integrated platform into its existing operations, ARKO gains greater control over the fuel supply chain — from sourcing and distribution to retail delivery — reducing dependency on third-party intermediaries. Vertical integration in fuel distribution has become an increasingly attractive model as margin compression at the pump has pushed operators to seek efficiencies deeper in the supply stack.
For investors and industry observers, the key question going forward will be how quickly ARKO can realize the projected synergies and whether integration costs temper the near-term EBITDA contribution. Wholesale fuel distribution is a scale-driven business, and acquisitions of this type tend to carry execution risk in their first operational year. The addition of USPP's infrastructure and customer relationships, however, positions ARKO as a more formidable competitor in the wholesale fuel marketplace.
